Browsing and using the website accessible at the URL www.tradeupcloud.com (hereinafter “Site”) implies full acceptance of these general conditions of use of the Site and other special conditions and legal notices that may be published in the appropriate pages and sections of the Site (“hereinafter, collectively, “General Conditions”) for the use of individual services and/or contents and/or materials of any kind (hereinafter “Contents”). The user declares to have viewed and accepted these General Conditions of use and/or any other note, legal notice, information or disclaimer published anywhere on the Site.
The obligations and guarantees specified below are provided by the user both on their own behalf and for any third party connected to them and authorized by them to use the Site.
The definition of “Site” also includes the online presence of Neperia Group Srl (hereinafter, “Neperia Group”) on any present and/or future social network where Neperia Group manages any type of activity and/or relationship with online users. Consequently, the user acknowledges and undertakes – within the limits of applicability – to comply with these General Conditions (in addition to the Guidelines and Regulations imposed by the owner of the social network concerned from time to time) even when browsing on other sites and/or social networks online attributable to Neperia Group.
1. OBJECT
The General Conditions govern the terms of use of the Contents and the Site, owned by Neperia Group.
The use of the Site and the possibility of accessing the Contents and services are subject to acceptance of the General Conditions. If you do not intend to accept these terms and conditions, please do not use the Site. The use and/or navigation within the Site are to be understood as tacit acceptance of these General Conditions.
Access to certain Contents of the Site may involve the acceptance by the user of additional conditions and terms of use which, depending on the case, could replace, integrate and/or modify the General Conditions.

3. USE OF CONTENTS AND INFORMATION.
USER WARRANTIES AND RESPONSIBILITIES.
The information and Contents available on the Site are available free of charge, unless otherwise specifically indicated. The information and Contents available on the Site are purely informative and do not constitute a contractual proposal or an offer to the public pursuant to art. 1336 of the Civil Code, nor can they be considered binding for any negotiation or commercial relationship.
To the extent permitted by applicable law, and except where otherwise specified according to generally recognized commercial practices, users acknowledge that the use of the Site is at their own exclusive risk. The Site is provided “as is” and “as available”. NEPERIA GROUP does not offer any specific guarantee about the results that are expected, hoped for or obtained with the use of the Site.
Within the limits provided for by article 1229 of the Civil Code, users declare and guarantee to indemnify and hold harmless NEPERIA GROUP, its representatives, employees, collaborators, consortium members as well as its partners from any compensation obligation, including legal expenses, which may originate against them in relation to the use of the Site. If the applicable legislation does not allow an exemption from liability, NEPERIA GROUP’s liability must in any case be
limited to the extent permitted by law.
NEPERIA GROUP declines all responsibility for any claims by users relating to the impossibility of using the Site and/or the Contents for any reason. NEPERIA GROUP cannot be held non-compliant or responsible for damages, claims or losses, direct or indirect, arising to users due to the failure and/or defective operation of the electronic equipment of the users themselves or of third parties, including Internet Service Providers, telephone and/or telematic connections not directly managed by NEPERIA GROUP or by subjects for which NEPERIA GROUP must be responsible, as well as actions of other users or other people having access to the network.
NEPERIA GROUP reserves the right at any time to disconnect, temporarily or permanently, the Contents (or any part thereof). The user acknowledges that
NEPERIA GROUP cannot in any way be held responsible towards users or third parties for the suspension or interruption of its Contents, except for specific, different and additional contractual commitments possibly undertaken in this regard with users.
Any information (textual or graphic) published on the Site but coming directly from third parties will not entail any responsibility for NEPERIA GROUP, with the individual owners assuming exclusive responsibility for the information published. Consequently, NEPERIA GROUP assumes no responsibility for inaccuracies, graphical errors or explicit or implicit guarantees on the information provided and on third-party content published on the Site.
The user undertakes to use the Site and the Contents in a diligent, correct and lawful manner and by way of example and not limited to, undertakes to refrain from:

By providing such information or materials to NEPERIA GROUP, the user assigns and transfers completely and free of charge to NEPERIA GROUP all intellectual property rights relating to such information and materials (except in cases of previous privative and the application of the rules on the protection of know-how contained in Legislative Decree 30/2005 and those generally applicable to the protection of industrial and business secrets); within the limits provided, NEPERIA GROUP will therefore be free to use, reproduce, transmit, distribute, modify, assign and license such information and materials. Subject to the limits mentioned above, NEPERIA GROUP will be free to use all ideas, concepts, know-how or technical knowledge contained in such information and materials, for any purpose, including the development, production and marketing of products using such information and materials.
NEPERIA GROUP also declines any responsibility for information (textual or graphic), documents or materials entered by users on the Site during the use of Contents.
The user undertakes not to use the Contents or any other service or functionality of the Site to:
upload, publish, send or otherwise transmit or disseminate content that is illegal, harmful, threatening, abusive, harassing, defamatory and/or libelous, vulgar, obscene, damaging to others’ privacy, racist, classist or otherwise reprehensible;
create headers or otherwise manipulate distinctive signs or indications to counterfeit the origin of content transmitted or disseminated through any type of functionality available on the Site;
interrupt the normal course of communications, or, in any case, act in a way that affects the ability of other users to use the Site;

5. INTELLECTUAL AND INDUSTRIAL PROPERTY
The Site and all its Contents are the exclusive and reserved property of NEPERIA GROUP, and/or its grantors or assignees and/or third parties were indicated and are protected by current national and international regulations regarding the protection of Intellectual and/or Industrial Property rights. With the term “Site”, for the purposes of the applicability of what is provided for in this paragraph, NEPERIA GROUP intends to refer to every content and technical-IT element based on the Site, including, by way of example and not limited to, texts, photographs, animations, audio and video files regardless of format, reproductions of trademarks, logos, commercial names of products and/or services, etc., the technical solutions adopted, the graphic creations, the structure and any other part already created or to be created. With the term “Intellectual and Industrial Property Rights” relating to the Site, NEPERIA GROUP intends to refer to the complex of rights recognized and protected by current national and international regulations, including – by way of example and not limited to, with respect to all States of
the world and without any term – any right arising from patents (including the right to file the relevant application), present or future copyrights, business and/or service trademarks (both registered and used de facto by NEPERIA GROUP), brands, trade names, companies, know-how, domain names, databases and all related applications. With the term “Materials” NEPERIA GROUP intends to refer to all the Contents of the Site and other contents represented – by way of example and not limited to – by texts, images, graphic creations, files, software of any kind, audio, video materials, virtual animations, multimedia and/or hypertext elements, regardless of the formats, the supports that contain them, the extension (by way of example and not limited to: mp3, wav, jpg, mpeg, gif, doc, etc.), the size, the versions in use, the techniques used for their distribution and/or transmission.
The Materials published on the Site may be used under the following conditions:
use must be preceded by a written request for authorization to be sent to NEPERIA GROUP, which will not unreasonably deny such use, depending on the case;
the Materials must remain in their original format and, if reproduced, must always bear the proprietary indications of NEPERIA GROUP and/or third parties or relating to copyright or authors;
the use, for any purpose and for any purpose, must not be for profit;
the source, the author and/or owner of the rights to the Materials and the web address from which they were taken must be cited;
the use in any way and for any purpose of Materials represented by legal texts (e.g.: information, contractual conditions, etc.) published online is prohibited.
Any violation will be prosecuted according to law.

The user undertakes to scrupulously comply with the conditions of use of the Contents and Materials available on the Site and to respect all Intellectual and Industrial Property Rights relating to them. They will be personally responsible for all any illegal or harmful acts attributable to them, also granting the
broadest indemnity to NEPERIA GROUP in the event that behaviour in violation of national and/or international regulations protecting Intellectual and/or Industrial Property – hereby fully recalled and applicable for matters not expressly provided for – harms the rights of third parties in general.
